General
Scope of application. These general terms and conditions apply to all offers from MAKERS MEDIA E.B. SRL (hereinafter referred to as "MAKERS MEDIA"), order confirmations and all services provided by MAKERS MEDIA. These general conditions exclude, in the absence of written acceptance by MAKERS MEDIA, any general or special conditions of the customer. 1.2. Waiver. No deviation from these general terms and conditions will be accepted without the written agreement of MAKERS MEDIA. 1.3. Acceptance. The customer acknowledges having received a copy of these general terms and conditions and declares accepting them in their entirety. 1.4. Amendments - new orders. Unless otherwise agreed in writing, the present terms and conditions apply to all amendments and/or new orders.
Formation and purpose of the contract
Orders. All orders from the customer must be made in writing and will be in response to a written offer or will be the subject of a written order confirmation from MAKERS MEDIA. Unless otherwise agreed, MAKERS MEDIA offers are valid for 30 days. 2.2. Contract. Any offer accepted by the customer or any order placed by the customer and confirmed by MAKERS MEDIA forms, together with these general terms and conditions, the binding contract between the parties. 2.3. Subject matter. MAKERS MEDIA undertakes only to do what is expressly stated in the offer or order confirmation and these general terms and conditions, to the exclusion of any other services and/or supply of materials.
Service provision
Délais. Les délais d’exécution des services sont donnés à titre indicatif. Un retard de livraison ou d’exécution même de plusieurs mois ne donne pas le droit au client d’annuler le contrat, de refuser le service ni de réclamer une quelconque indemnité de retard. En cas de dépassement d’un délai de (6) six mois après mise en demeure par courrier recommandé, MAKERS MEDIA versera, si prévu dans la commande, une indemnité libératoire équivalente à 2 % du prix de vente par mois de retard additionnel expiré, cette indemnité forfaitaire ne pouvant toutefois excéder 10 % du prix du contrat et constitue l’intégralité du dommage causé par MAKERS MEDIA en cas de retard. 3.2. Obligations du client. Le client s’engage (i) à apporter à MAKERS MEDIA toutes les données et les renseignements raisonnablement utiles pour MAKERS MEDIA en vue d’assurer la bonne exécution du contrat dans les conditions et les délais prévus. Le client et MAKERS MEDIA désignent tous deux un responsable de projet en vue de la coordination indispensable entre les deux parties. Le client s’engage à (i) traiter avec attention toute question soulevée par MAKERS MEDIA liée aux obligations du client et à la fourniture des produits et/ou des services, et à (ii) respecter la législation applicable à ses activités. Le client est seul responsable des décisions commerciales qu’il prend et de leurs impacts sur les prestations de MAKERS MEDIA. 3.3. Procédure de réception. MAKERS MEDIA va notifier au client lorsque les livrables sont prêts pour être testés ou vérifiés par le client. Le client s’engage à mettre en place une procédure de tests qu’il juge nécessaire afin de vérifier si les livrables correspondent au contrat, dans le délai fixé par les parties ou, à défaut de délai fixé par les parties, dans un délai de quinze (15) jours après la date de livraison des livrables. Cette procédure de tests doit être au préalable communiquée et validée par MAKERS MEDIA. MAKERS MEDIA se réserve le droit de refuser la procédure de tests, auquel cas le client s’engage à modifier la procédure en conséquence. MAKERS MEDIA peut librement assister à la procédure de tests. Le client doit fournir à MAKERS MEDIA un certificat de réception (selon les critères définis par MAKERS MEDIA) dans les quarante-huit (48) heures qui suivent la fin de la procédure de tests. Le client est présumé avoir accepté les livrables : (i) s’il les a utilisés (sauf pour effectuer les tests) ou mis en production, (ii) si le client ne commence pas les tests dans la période fixée par les parties (période ne pouvant pas excéder cinq (5) jours), (iii) à l’issue du délai fixé par les parties pour effectuer les tests ou (iv) à l’issue d’un délai de un (1) jour après le délai convenu par les parties dans le cas d’absence du client pour effectuer de tests pour une raison non justifiée. Le client doit notifier immédiatement MAKERS MEDIA de tout incident en relation avec les tests, en utilisant un document-type dont le format doit être accepté par les parties, et dans lequel le client doit identifier les scripts de tests liés à l’incident et détailler l’incident. Le cas échéant, les parties doivent se mettre d’accord sur la priorité à accorder aux incidents pour la résolution de ces derniers. Si un incident est lié à un défaut de conformité des livrables avec les spécifications définies au contrat, et ce défaut empêche le client de continuer les tests, la période des tests définie ci-dessus sera prolongée une seule fois du temps nécessaire à MAKERS MEDIA pour corriger le défaut et permettre de continuer les tests. 3.4. Annulation. L’annulation de la commande d’une prestation par le client doit être faite par écrit à MAKERS MEDIA au moins deux (2) mois avant le début de la prestation. Si l’annulation est faite moins de deux (2) mois avant le début de la prestation, MAKERS MEDIA demandera un dédommagement au client d’un montant égal à trente (30) % du prix de la prestation. Si l’annulation est faite moins d’un (1) mois avant le début de la prestation, MAKERS MEDIA demandera un dédommagement au client d’un montant égal à cinquante (50) % du prix de la prestation. L’acompte versé par le client ne sera pas remboursé en cas d’annulation par le client. 3.5. Changements. Tout changement sollicité par une partie doit se faire dans les conditions décrites ci-après et précisées dans l’offre de MAKERS MEDIA. Aucun changement ne sera effectif à moins qu’il n’ait fait l’objet d’un document écrit signé par les représentants des parties. MAKERS MEDIA facturera à ses taux habituels les prestations liées aux changements demandés. Dans le cas où le client demande un changement, puis retire sa demande, et que cela cause un retard dans la réalisation du projet, MAKERS MEDIA ne sera pas responsable de ce retard et disposera d’une extension supplémentaire raisonnable du délai pour réaliser ses prestations. Les délais seront adaptés en conséquence. 3.6. Supports. Les clients sont tenus de vérifier immédiatement les supports qui leurs sont livrés. Aucune réclamation relative à un support livré ne sera prise en compte après que le client ait manipulé ou tenté de manipuler le support.
Service prices
4.1 Down payment. Unless otherwise agreed in writing, the customer undertakes to pay MAKERS MEDIA, within 7 (seven) days of the conclusion of the contract, a deposit corresponding to thirty (30) % of the agreed price. Unless otherwise stipulated in writing, the time limits for performance of the services shall only commence upon receipt of the deposit by MAKERS MEDIA. If a performance date or deadline is mentioned, MAKERS MEDIA reserves the right to suspend its services in the absence of prior receipt of the deposit. The customer bears full responsibility in the event of suspension. 4.2. Prices. MAKERS MEDIA invoices the services according to the prices determined in the contract, on a fixed-price and/or time-and-a-half basis. The prices stated in the offer or contract exclude VAT.
Intellectual property
Ownership. MAKERS MEDIA retains the intellectual property of all creations made within the framework of the contract. 5.2. Customer's right of use. On the date of full payment of the price by the customer, MAKERS MEDIA grants the customer a right to use certain products - excluding audiovisual products - created by MAKERS MEDIA by virtue of the contract, and for the customer's internal needs. Use may only be made by the customer, to the exclusion of any third party (IT service provider, company linked to the customer, partner of the customer, or other) unless otherwise agreed. 5.3. Transfer of intellectual property rights. On the date of full payment of the price by the customer, MAKERS MEDIA transfers the intellectual property rights of the audiovisual products (with the exception of rights relating to music) created by MAKERS MEDIA to the customer within the limits imposed by legislation unless otherwise agreed. 5.4. Infringement by the customer. MAKERS MEDIA's intellectual property is critical and essential to the continuity of its business. Consequently, any violation by the customer of MAKERS MEDIA's intellectual property rights will entitle MAKERS MEDIA to suspend or terminate the contract with immediate effect. In case of violation, beyond the right to suspend or terminate the contract, the customer shall pay twenty thousand (20,000) euros per violation, without prejudice to MAKERS MEDIA's right to claim greater damages in court. 5.5. Termination of the right of use. At the end of the right of use, all uses of the creations must be immediately and unconditionally stopped by the customer. In the event of non-compliance, the sanction of article 5.4 shall apply, subject to MAKERS MEDIA's right to claim additional damages.
Payment
Invoices. MAKERS MEDIA invoices its services on a monthly basis. Unless otherwise agreed in writing by the parties, the price of the services is payable according to the following schedule: (i) thirty (30) % as a deposit within seven (7) days of the conclusion of the contract, (ii) the balance monthly until receipt (fixed price) or monthly (accrual). 6.2. Time limit. All MAKERS MEDIA invoices are payable within thirty (30) days of the invoice date. 6.3. Complaints. Any complaint relating to invoices must be justified and notified to MAKERS MEDIA in accordance with article 12.3 at the latest within 7 days of the invoice date. 6.4. Delay - default. In the event of late or non-payment of any invoice, the customer shall owe MAKERS MEDIA, by operation of law and without prior formal notice, late payment interest at the rate referred to in article 5 of the law of August 2, 2002 concerning the fight against late payment in commercial transactions. Any invoice unpaid on the due date will automatically, and without prior notice, incur an additional flat-rate penalty of ten (10) % of the principal sum. MAKERS MEDIA reserves the right to charge the professional customer a recovery fee of fifteen (15) euros per letter. 6.5. Suspension. In the event of the customer failing to meet a single payment deadline, for any reason whatsoever, MAKERS MEDIA reserves the right to suspend, in whole or in part, the performance of its services.
Limitation of liability
Obligation of means. Unless MAKERS MEDIA undertakes otherwise in writing or unless otherwise provided by law, its commitments are obligations of means. 7.2. Limitation of liability. Under no circumstances can MAKERS MEDIA be held liable for the non-execution or defective execution by the customer of recommendations or advice from MAKERS MEDIA or for which it has expressed reservations. MAKERS MEDIA may not be held liable for faults committed by other participants or third parties in the context of the assignment entrusted to it. 7.3. Direct damage. In the event that MAKERS MEDIA causes damage to the customer, its liability is, in all cases, limited to direct, material and foreseeable damage. MAKERS MEDIA's liability may not exceed the price paid by the customer for the defective service or product during the three (3) months preceding the claim for damages. To be admissible, the claim must be made within seven (7) days of the discovery of the damage. Any late claim will be considered time-barred. 7.4. Indirect damages. To the maximum extent permitted by law, and to the exclusion of any clause to the contrary, MAKERS MEDIA excludes liability for any indirect damage caused to the customer, including loss of profit, loss of income, loss of interest, loss of data, loss of use, loss of opportunity, business interruption (or any other financial loss) or any payment made or due to a third party, or any loss or damage in connection with a delay, which would be related to a contract with MAKERS MEDIA, regardless of whether MAKERS MEDIA could have foreseen or was aware of the possibility of such damage. 7.5. Obligations of the customer. The performance of its services by MAKERS MEDIA is dependent on the customer fulfilling its obligations. In the event that the customer does not fulfill its obligations, and subject to prior notification by MAKERS MEDIA, MAKERS MEDIA may (at its option): (i) reserve the right to invoice the customer for resources reserved for the provision of the products and/or services even if not used, (ii) reserve the right to change the scope of the products and/or services and/or deadlines, provided MAKERS MEDIA consults the customer in advance and acts reasonably, (iii) reserve the right to no longer provide the products and/or services to the extent MAKERS MEDIA would be prevented by the customer's attitude (iv) reserve the right to suspend or terminate the production of the products and/or services. 7.6. Objects belonging to third parties. Any software, hardware, equipment, products or objects, supplied by third parties within the framework of a contract, are supplied "as is" and MAKERS MEDIA accepts no responsibility for any defects found therein.
Assignment and subcontracting
MAKERS MEDIA may assign or subcontract all or part of the rights and obligations arising from the contract concluded with the customer without the latter's consent. The customer may not assign the contract without the prior written consent of MAKERS MEDIA.
Force majeure
The occurrence of any event, such as, in particular, any delay or failure in delivery, strikes, lock-outs, attacks, epidemics or health crises and, more generally, any event of a similar nature affecting the parties, their suppliers or subcontractors, which delays or renders impossible the performance of their respective obligations, suspends the performance of their respective obligations.
End of contract and its consequences
Termination of contract. The customer may terminate the contract by giving MAKERS MEDIA three (3) months' notice by registered mail. In this case, the customer will automatically owe MAKERS MEDIA the cost of the services provided and the expenses incurred up to the date of termination, as well as the loss of profits. MAKERS MEDIA may terminate the contract at any time by giving seven (7) days' notice without being liable to pay any compensation. MAKERS MEDIA reserves the right to suspend or terminate the contract immediately (i) if the customer has committed a fault and has not corrected this fault within fifteen (15) days of the written notification sent by MAKERS MEDIA - is considered a fault, the fact that the customer does not pay its invoices fifteen (15) days after the sending of a written notification by MAKERS MEDIA (ii) if the customer is insolvent, and/or can no longer maintain its business in a normal manner, and/or the customer is in negotiations with its creditors, and/or the customer no longer pays its debts when they become due, (iii) with immediate effect from the date of notification of the end of the contract by MAKERS MEDIA if the customer has violated its obligations of confidentiality or relating to the intellectual property rights of MAKERS MEDIA. 10.2. Consequences of termination. Upon termination of the contract for any reason whatsoever, the customer shall pay all undisputed services and charges payable prior to the date of termination of the contract and the customer shall have no right to withhold, deduct or set-off such amounts subject to MAKERS MEDIA's right to claim additional damages.
Privacy policy
Purposes. The processing by MAKERS MEDIA of the customer's personal data is for the purposes of contract performance, customer administration, the promotion and development of MAKERS MEDIA products and services, the establishment of personalized information and direct marketing campaigns, including by means of electronic mail.11.2. Customer rights. At any time, the customer has the right to access, check and rectify personal data free of charge. The customer may object, on request and free of charge, to the processing of his personal data for direct marketing purposes.to do so, the customer must contact MAKERS MEDIA by email at: elisa@makers-media.com
General
12.1 Waiver. Any waiver by MAKERS MEDIA of all or part of the present general terms and conditions at any time, in whole or in part, is null and void.
Any waiver of such right at a given time shall not be construed as a waiver of such right at a later time. 12.2 Confidentiality. MAKERS MEDIA and the customer
both undertake, for themselves and their employees, to keep all information strictly confidential.12.3 Rights
